Terms of Service

This Agreement governs the relationship between Octoplus and the company or individual accessing or utilizing the Product. It encompasses: (1) the Order Form, (2) the Key Terms, and (3) the Common Paper Cloud Service Standard Terms. If there is any inconsistency between the parts of the Standard Terms and modifications specified in the Order Form, the Order Form will control over the Standard Terms. Capitalized words have the meanings or descriptions given in the Cover Page or Standard Terms.
Order Form
Cloud Service: Octoplus is an AI powered incident response management and fixing platform which aims to simplify communication and improve visibility during incident response, enabling developers, engineers, and leadership teams to track, analyze, and resolve production issues more efficiently.
Subscription Period: 1 year(s)
Subscription Start Date: The Effective Date
Non-Renewal Notice Date: At least 30 days before the end of the current Subscription Period.
Cloud Service Fees: The pricing terms shall be established and formalized in a distinct agreement or contract between the Octoplus and the customer. Any alterations to the pricing structure will be conveyed to customers with a reasonable advance notice period, as stipulated in the agreement.
Payment Process: Octoplus will invoice Customer annually. Customer will pay each invoice within 30 day(s)s from Customer’s receipt of invoice.
Key Terms
Customer: The individual or entity accessing or utilizing the Product. In the event that the individual accepting this agreement is acting on behalf of a company, all references to "Customer" within the agreement shall pertain to said company.
Provider: AMAPRIVIS TECHNOLOGIES (OPC) PRIVATE LIMITED (referred to as “Octoplus”).
Effective Date: The date customer first accept this agreement.
Provider Covered Claims: Any action, proceeding, or claim that the Cloud Service, when used by Customer according to the terms of the Agreement, violates, misappropriates, or otherwise infringes upon anyone else’s intellectual property or other proprietary rights.
Customer Covered Claims: Any action, proceeding, or claim that (1) the Customer Content, when used according to the terms of the Agreement, violates, misappropriates, or otherwise infringes upon anyone else’s intellectual property or other proprietary rights; or (2) results from Customer’s breach or alleged breach of Section 2.1 (Restrictions on Customer).
General Cap Amount: The fees paid or payable by Customer to Provider in the 12 month period immediately preceding the claim.
Governing Law: The laws of India
Chosen Courts: The courts of Bangalore, Karnataka, India
